elementor - v3.20.0 - 11-03-2024 *\/\n.elementor-widget-text-editor.elementor-drop-cap-view-stacked .elementor-drop-cap{background-color:#69727d;color:#fff}.elementor-widget-text-editor.elementor-drop-cap-view-framed .elementor-drop-cap{color:#69727d;border:3px solid;background-color:transparent}.elementor-widget-text-editor:not(.elementor-drop-cap-view-default) .elementor-drop-cap{margin-top:8px}.elementor-widget-text-editor:not(.elementor-drop-cap-view-default) .elementor-drop-cap-letter{width:1em;height:1em}.elementor-widget-text-editor .elementor-drop-cap{float:left;text-align:center;line-height:1;font-size:50px}.elementor-widget-text-editor .elementor-drop-cap-letter{display:inline-block}<\/style>\t\t\t\t<p><strong>Reseller Agreement<\/strong><\/p><p>This Reseller Agreement (the &#8220;Agreement&#8221;) is entered into as of [Date] by and between <strong>Rimshay<\/strong>, a company registered and headquartered in Faisalabad, Pakistan (the &#8220;Company&#8221;), and [Reseller Name], residing or located at [Reseller Address] (the &#8220;Reseller&#8221;).<\/p><p>Both parties agree to the following terms and conditions:<\/p><hr \/><h3>1. <strong>Purpose of Agreement<\/strong><\/h3><p>The purpose of this Agreement is to establish the terms under which the Reseller will promote, market, and sell Rimshay\u2019s products.<\/p><hr \/><h3>2. <strong>Authorization<\/strong><\/h3><ul><li>Rimshay authorizes the Reseller to act as a non-exclusive distributor of its products.<\/li><li>The Reseller agrees to adhere to Rimshay\u2019s policies and guidelines as provided.<\/li><\/ul><hr \/><h3>3. <strong>Reseller Obligations<\/strong><\/h3><ul><li>Promote, market, and sell Rimshay\u2019s products ethically and professionally.<\/li><li>Maintain accurate records of sales and provide these to Rimshay upon request.<\/li><li>Adhere to Rimshay\u2019s pricing policies, branding guidelines, and terms of service.<\/li><li>Ensure timely payments for all orders placed with Rimshay.<\/li><\/ul><hr \/><h3>4. <strong>Rimshay Obligations<\/strong><\/h3><ul><li>Provide the Reseller with products as per the agreed terms and conditions.<\/li><li>Offer support, including training, marketing materials, and access to exclusive product lines.<\/li><li>Maintain transparency regarding product pricing, availability, and updates.<\/li><\/ul><hr \/><h3>5. <strong>Pricing and Payment<\/strong><\/h3><ul><li>The Reseller will purchase products at agreed-upon reseller rates, as documented in an appendix to this Agreement.<\/li><li>Payments must be made in accordance with the payment terms outlined by Rimshay.<\/li><li>Late payments may result in additional charges or suspension of the Reseller\u2019s account.<\/li><\/ul><hr \/><h3>6. <strong>Term and Termination<\/strong><\/h3><ul><li>This Agreement is effective as of the date signed and will continue until terminated by either party with 30 days&#8217; written notice.<\/li><li>Rimshay reserves the right to terminate this Agreement immediately for violations of its terms, unethical conduct, or actions damaging Rimshay\u2019s reputation.<\/li><\/ul><hr \/><h3>7. <strong>Intellectual Property<\/strong><\/h3><ul><li>Rimshay retains all rights to its trademarks, logos, and other intellectual property.<\/li><li>The Reseller is granted a non-exclusive license to use Rimshay\u2019s branding solely for the purpose of promoting its products.<\/li><\/ul><hr \/><h3>8. <strong>Confidentiality<\/strong><\/h3><ul><li>The Reseller agrees to keep all proprietary information shared by Rimshay confidential.<\/li><li>This obligation remains effective even after the termination of this Agreement.<\/li><\/ul><hr \/><h3>9. <strong>Indemnification<\/strong><\/h3><ul><li>The Reseller indemnifies Rimshay against any claims, liabilities, or losses arising from the Reseller\u2019s actions or negligence.<\/li><li>Rimshay indemnifies the Reseller against any claims directly related to defective products provided by Rimshay.<\/li><\/ul><hr \/><h3>10. <strong>Governing Law and Dispute Resolution<\/strong><\/h3><ul><li>This Agreement is governed by the laws of Pakistan.<\/li><li>Any disputes will be resolved through amicable negotiation.
